Terms of Service

1. Purpose

These terms govern access to and use of the koaee.ai website and the AI assistant services offered by Ubnbee LLC (hereinafter "Koaee"): industry demonstrations, conversational assistants embeddable on the client's website, management dashboard and associated services. Using the site or subscribing to a plan constitutes acceptance of these terms.

2. Publisher

The services are published by Ubnbee LLC — see the legal notice for full information (registered office, contact, host).

3. Description of services

Koaee provides conversational assistants powered by artificial intelligence, available 24h/24 and in 16 languages, intended for professional (B2B) use. Publicly accessible demonstrations are provided for illustrative purposes: they create no contractual commitment and must not be used to transmit real, personal or sensitive data.

4. Nature of the AI's responses

In accordance with Article 50 of the European AI Regulation, users are informed that they are interacting with an artificial intelligence system. Responses are generated automatically and may contain inaccuracies: they constitute neither professional advice (medical, legal, financial) nor any commitment by Koaee or the end client. The client remains responsible for the content and information provided to its assistant.

5. Location of data processing

The website and service data are hosted within the European Union (IONOS). Written conversations are processed within the European Union by our language model provider Mistral AI (France).

Only the voice features rely on providers located outside the European Union: text-to-speech (TTS) and speech-to-text (STT) are operated, for some languages, by third-party services (notably Google and OpenAI, United States). In French and English, the synthetic voice is produced within the European Union (Mistral AI, France), as is the transcription of eight languages. Should this European provider be temporarily unavailable, the service automatically switches to a backup provider located outside the Union (Google or OpenAI, United States), under the same standard contractual clauses. This transfer relies on the standard contractual clauses adopted by the European Commission, supplemented by a transfer impact assessment: it is these clauses that govern it, not the user's consent. Voice features remain activated by an explicit action from the user, and using the service in writing involves no transfer outside the Union. Incidentally, certain demonstration features (image search) may also call on a provider outside the EU.

Payments are handled by Stripe. The up-to-date list of subprocessors and processing details are set out in the privacy policy.

6. Account, subscription and trial

The applicable prices are those shown in the pricing table published on the home page at the time of subscription. Subscriptions are taken out monthly or annually, at the customer's choice.

The monthly subscription has no fixed term: it renews from month to month and can be cancelled at any time, from the customer area or by email at support@koaee.ai; cancellation takes effect at the end of the current period.

The annual subscription, which entitles the customer to a discount, is taken out for twelve months and renews for the same term unless cancelled; it can be cancelled at any time for the following annual renewal date, with the customer being informed of the renewal at least one month beforehand.

The free trial, where offered, is limited to one per company. The detailed terms of subscription, billing, overage and refund are set out in the general terms and conditions of sale.

7. User obligations

The user undertakes not to: divert the assistants from their intended purpose (attempts to extract prompts, bypass protections, automated bulk requests); submit unlawful content; resell access to the services without written agreement. Koaee may suspend access in the event of manifest abuse.

8. Personal data

Personal data processing is described in the privacy policy. To exercise your rights: support@koaee.ai. Customers with a subscription can delete their account and data from their customer area.

9. Intellectual property

The services, their code and their content remain the property of Ubnbee LLC. The client retains ownership of the data and content it provides. The "koaee" trademark is registered with the INPI (application no. 5277383).

10. Availability and liability

Koaee makes reasonable efforts to ensure the availability of the services, without any guarantee of uninterrupted operation. Ubnbee LLC's liability, on all grounds combined, is limited to the amount of the sums paid by the customer for the last twelve months of subscription.

11. Changes to the terms

These terms may be modified, in particular in the event of changes to the services or processing providers; the version in effect is the one published on this page, with its date. Subscribed clients are informed of substantial changes.

12. Governing law

These terms are governed by French law.

In the event of a dispute, the parties will endeavour to reach an amicable solution; any claim may be sent to support@koaee.ai and will be answered within thirty days. Failing agreement, the dispute will be brought before the competent courts of Paris, without prejudice to mandatory rules of jurisdiction.
